TSS Acquires Operis: Canadian Vertical Software Giant Continues Its Expansion into the French Public Sector

TSS acquiert Operis : le géant canadien du logiciel vertical poursuit son offensive sur le secteur public français

Total Specific Solutions (TSS) continues to execute its consolidation strategy within the French public-sector software market. Through the acquisition of Operis, a Nantes-based software provider specializing in urban planning solutions for local authorities, the group completes its 22nd acquisition in France.

Dutch software group Total Specific Solutions has acquired, through its French subsidiary, Operis, a Nantes-based software developer and integrator providing urban planning solutions for local governments. This marks TSS’s 22nd acquisition in France. The country remains one of the group’s most dynamic markets, generating more than €150 million in revenue and employing nearly 1,000 people. Across Europe, more than 180 companies have joined the group, which now employs over 7,500 professionals.

A Build-Up Engine Focused on Niche Markets

Founded in the Netherlands in 2007, TSS was acquired in 2014 by Canadian software conglomerate Constellation Software, one of the world’s largest software groups, employing more than 20,000 people. Its strategy remains unchanged: identify vertical software companies operating in highly specialized and relatively uncontested niches, acquire them at reasonable valuations, allow them to continue operating independently under their own brands, and benefit from their recurring revenue streams.

This acquisition follows previous transactions involving Cosoluce, Héliantis, Tribofilm and SRCI, enabling TSS to offer a comprehensive suite of software solutions for local authorities.

Othman Ghannam, Managing Director of TSS France, summarized the rationale behind the acquisition:
“TSS continues to grow year after year, and with the addition of Operis, we are strengthening our portfolio of solutions for local authorities. Urban planning is an essential public service where software solutions and integrated processes enable stakeholders to operate more efficiently.”

Operis: Three Decades of Expertise Serving Local Authorities

Operis brings more than 30 years of experience serving approximately 1,200 clients through its urban planning authorization management solutions designed for planning officers and project managers. Its offering includes a digital permit management portal that enables fully paperless processing of applications.

The company was formed through the merger of five businesses: Alcer, Magellan, Sercl, VisualSoft and Appia, each contributing specific expertise to the platform.

Operis employs around 100 people and generates annual revenue of €8.5 million. The company will continue to operate within the TSS group.

Élodie Le Bris, Chief Executive Officer of Operis, emphasized the continuity of the business:
“We will continue operating under the Operis name, preserving the commercial identity we have built over the past 30 years and which is recognized by our employees, customers and the market.”

A Rapidly Consolidating Market for Public-Sector Software

Digital urban planning represents a structurally attractive market segment. The digitization of urban planning authorization procedures, made mandatory under France’s ELAN Law since 2022 for municipalities with more than 3,500 inhabitants, has created significant demand for software solutions across local governments.

This regulatory environment aligns perfectly with TSS‘s investment criteria: a captive market, recurring revenues, and high barriers to entry driven by deep integration with municipal information systems.

The consolidation trend within this sector is only beginning. Vertical software providers serving the public sector, including urban planning, local government finance, human resources and civil registration, represent natural targets for build-up strategies, given their business models combining recurring revenues, low customer churn and strong functional dependence from end users.
