In continuity with 2024, the 2025 M&A Overview takes place in an economic environment that remains uncertain, marked by a gradual normalisation of inflation and persistently selective financing conditions. Food industry players continue to face sustained pressure on raw material, energy and labour costs, while simultaneously adapting to increasingly stringent regulatory and environmental requirements, particularly with regard to traceability standards.
“The Food & Beverage sector remains a cornerstone of European consolidation strategies, with a clear premium placed on assets combining industrial expertise, strong brand identity and export capabilities,” notes Bernard GAUD, Food Sector Expert at AURIS Finance.
This review explores the key M&A trends in the food industry in 2025, highlighting the strategies adopted by leading players to address these challenges and seize opportunities in a rapidly evolving market.
A French food industry under pressure: declining margins amid shifting consumer behaviour
In France, the Food & Beverage sector remains the leading industrial industry, with approximately 20,000 companies, €250 billion in revenue and 520,000 employees across the country. While historically a pillar of the national trade surplus, 2025 marks a turning point: the French agri-food trade balance is approaching equilibrium, with only a marginal surplus and rolling periods occasionally tipping into deficit, revealing underlying structural fragility.
The slowdown in food inflation anticipated in 2024 has been confirmed in 2025, standing at +1.2% year-on-year—reflecting genuine stabilisation compared to the +22% recorded between 2021 and 2023. However, disparities persist across product categories: cocoa prices have risen by +12.5%, while sugary drinks have increased by +8%. This requires producers and wholesalers to maintain constant vigilance and adopt category-based pricing strategies.
Performance now depends not only on products, but on the robustness of industrial models
Although food inflation has slowed significantly, pressure on industry players remains. Price increases persist in certain categories, while the regulatory framework continues to tighten. In April 2025, new legislation governing promotional practices and resale thresholds directly impacted pricing and promotional strategies across the entire value chain.
This environment forces companies to adapt rapidly. To maintain cost control, industrial players are focusing on volume pooling, modernising production tools, refining product segmentation and improving energy efficiency. Those progressing fastest on these levers are likely to strengthen their market position during this transition phase.
While negotiations with large-scale retail have significantly eroded margins during the post-Covid hyperinflation period, diversification into foodservice and export markets has become a strategic lever to reduce dependency on retail channels—particularly as retailer concentration intensifies supplier pressure.
At the same time, while some players continue to defend premium positioning, the decline in purchasing power among the French middle class raises questions about its long-term sustainability. Industrial competitiveness—through improved sourcing, productivity and cost structures—is once again a key differentiator alongside product positioning.
Ultimately, 2025 presents a demanding equation: protecting margins under pressure, financing compliance and transition efforts, and meeting increasingly price-sensitive consumer expectations.
In this context, the quality gap between assets is widening. Companies capable of defending pricing, building strong brands or operating in specialised niches continue to attract investor interest, while more commoditised models or those facing industrial overcapacity experience downward pressure on valuations.
The acquisition of Pierre Martinet by LDC illustrates this trend, enabling the French poultry leader to acquire a strong brand in the chilled ready-meal segment and reinforce its position in the fresh non-dairy market. This transaction—the group’s largest since the acquisition of Marie in 2009—forms part of its 2027 growth strategy.
In parallel, LDC has continued its international expansion strategy, notably through acquisitions in the UK and Poland, strengthening both its revenue base and operational expertise.
As the environment becomes more complex, consolidation emerges as a strategic transformation tool
In this context, investor appetite—both strategic and financial—is increasingly driven by transformation imperatives rather than pure external growth logic. Acquisitions enable rapid access to assets that would be too time-consuming or costly to develop internally, including production capacity, geographic presence, specialised know-how, certifications and distribution channels.
“The seafood segment is particularly impacted by growing traceability and sustainability requirements, which are becoming decisive criteria in M&A execution,” notes Emeric BASTID, Food Sector Expert at AURIS Finance.
With tighter credit conditions, deal structures are evolving. The market is shifting towards small and mid-cap transactions, bilateral processes, tailored structuring and increased caution on valuations.
Carve-out transactions are also gaining momentum. Several 2025 announcements illustrate this trend, including strategic divestments by major industrial groups and retailers seeking to refocus on core activities.
M&A overview
The reshaping of the French ecosystem is accelerating, with cross-border transactions and outsourcing strategies at the core of consolidation dynamics.
AURIS Finance recorded 188 transactions in 2025 (compared with 128 in 2024) in the food sector involving at least one French counterparty.
Among these, 40 were carried out by French companies abroad, including significant transactions such as acquisitions in the United States, Spain and other strategic markets.
Major groups such as Lactalis, Solina, Bel and Savencia have continued to expand internationally through targeted acquisitions, strengthening their global footprint and diversifying their product offerings.
On the private equity side, transactions continue to support industrial expansion, although 2025 trends show a shift away from traditional LBOs towards strategic consolidation and international growth.
External growth as a strategic lever
Unlike the previous year, most M&A transactions in 2025 were driven by strategic players rather than investment funds.
The consolidation of the French retail landscape has continued, with major transactions involving leading supermarket groups and ongoing restructuring within the sector.
At the same time, private equity investment remains a catalyst for accelerated growth in certain companies, supporting international expansion, industrial modernisation and innovation strategies.
2025 consolidation trends by sub-sector
AURIS Finance has identified several key trends across sub-sectors, reflecting adaptive strategies in response to complex economic and competitive environments.
Cooperatives: pooling resources to enhance agility
French agricultural cooperatives are undergoing significant restructuring, forming larger cooperative groups to mitigate geopolitical and commercial risks while pooling investments.
Recent strategic discussions and mergers illustrate this trend, aiming to create stronger entities capable of competing on a global scale.
Industry: partnerships as accelerators for premium brands
The biscuit category remains a significant market, estimated at $125.8 billion globally in 2025, with strong momentum in Europe driven by demand for premium and healthier products.
This trend is illustrated by the acquisition of a majority stake in La Maison du Biscuit by the Isigny Sainte-Mère cooperative, advised by AURIS Finance. The transaction strengthens the cooperative’s territorial roots while diversifying its premium product offering.
“La Maison du Biscuit is a true institution in Normandy. This transaction highlights growing investor interest in companies recognised for product quality, customer service and their ability to promote heritage expertise,” notes Maxime GAUTIER, Senior Associate in the Food & Beverage team at AURIS Finance.
More broadly, 2025 reflects a shift in consolidation rationale towards the mutualisation of strengths, with highly targeted partnerships supporting long-term growth.
“The beverage segment is also undergoing significant transformation, driven by premiumisation, partial de-alcoholisation and the rise of specialised brands. Investors remain focused on assets capable of combining product innovation with multi-channel distribution,” adds Marc-Olivier BERNARD, Food Sector Expert at AURIS Finance.
2026 outlook: accelerating innovation and AI while preparing for increasingly strategic consolidation
The drivers observed in 2025 are expected to persist into 2026: increased exposure to geopolitical and climate risks, regulatory complexity and the need to finance agro-ecological, energy and digital transitions.
In this environment, consolidation is likely to remain active but increasingly efficiency-driven, focusing on industrial synergies, supply chain security, investment pooling and capability acquisition—particularly in data and technology.
The growing convergence between retail and foodservice channels, driven by the rise of snacking and changing consumption habits, also represents a structural growth opportunity.
Meanwhile, data and artificial intelligence are becoming key cross-functional levers, enabling demand forecasting, waste reduction, logistics optimisation and enhanced traceability—provided that data quality and skills keep pace.
Key takeaways from 2025 M&A trends
Consolidation
It is emerging as a structural response to market pressures. Faced with margin constraints and increasing regulatory requirements, companies are prioritising industrial synergies and supply chain security over organic growth.
Agricultural cooperatives
They are entering a new phase of concentration, aiming to reach critical size to compete globally and finance investments.
Return to industrial fundamentals
Productivity, yield optimisation and cost control are once again primary performance drivers, sometimes at the expense of ESG initiatives unless driven by regulation.
New international entrants
Asian and South American players are leveraging M&A as a fast-track entry into Western European markets, targeting established distribution networks and expertise.
Halal and kosher segments
These markets are emerging as structural growth drivers, supported by increasing demand and ongoing premiumisation trends.
