GEODIS, a subsidiary of the SNCF group, has entered into an agreement with Deret SAS to acquire part of its transport and logistics activities. The scope includes Deret Logistique and Deret Transporteur, their subsidiaries Sogipac, Logtex and Deret Services Numériques, as well as part of Deret SAS’s logistics real estate assets. The transaction remains subject to consultation with the employee representative bodies of both groups and to customary conditions precedent, including merger control clearance. The transaction value has not been disclosed.
Analysis by the experts at Auris Finance, M&A and financial engineering advisory firm.
Founded in 1947, Deret supports businesses in the overall management of their supply chain. The group provides logistics and transport services to major French and international brands. Deret SAS employs a total of 2,400 people; the share of the workforce affected by the transaction has not been specified.
For GEODIS, the acquisition is part of strengthening its presence in the French contract logistics market. The group highlights the geographical and operational complementarity of the two businesses, as well as that of their client portfolios.
28 logistics sites and 13 transport branches
The companies being acquired represent 28 logistics sites and 13 transport branches. The scope does not cover all of the Deret group’s activities: it focuses on the transport and logistics companies and on part of the real estate portfolio.
The transaction should enable GEODIS to extend its warehouse network in France and strengthen its position in strategic sectors, notably luxury goods, cosmetics and pharmaceuticals.
A logistics real estate complex in the Orléans area
The real estate component is a central element of the transaction. GEODIS intends to consolidate its presence in the Orléans area, a major logistics hub, by building a large-scale logistics real estate complex there.
After Transports Malherbe, GEODIS’s external growth in France
The project comes a few months after the completion of the acquisition of Transports Malherbe at the start of the year. A specialist in full truckload road transport, Malherbe operates 40 branches, an owned fleet of nearly 1,500 trucks and more than 3,000 employees. This transaction placed GEODIS among the top three French players in full and partial truckload transport, with combined revenue of nearly €2 billion in this segment.
The two transactions follow distinct rationales. Malherbe strengthened the group’s road transport capabilities. The Deret project concerns contract logistics and logistics real estate. GEODIS, which generated revenue of €10.6 billion in 2025, is thus strengthening its transport and logistics capabilities in France in parallel.
