Action Pin comes under new ownership: when a Landes-based green chemistry champion regains independence

Action Pin has come under new ownership following its divestment by dsm-firmenich. This transaction reflects both the strategic refocusing of large industrial groups and the opportunity for entrepreneurial investors to unlock the potential of highly differentiated niche assets.

Insights and analysis by the experts at AURIS Finance, an M&A and financial advisory firm.

Originally founded in 1995 as a division of the Landes-based group DRT (created in 1932), Action Pin has built over more than sixty years a rare expertise in pine-based chemistry applied to ecological crop protection and professional hygiene.

Its industrial site in Castets, modernized in recent years, is a deeply embedded production asset, efficient, controlled, and difficult to replicate. The company combines a strong brand, proprietary formulations, a loyal customer base, and high regulatory barriers to entry, making it a high-quality industrial asset.

A structurally attractive market

The European industrial cleaning and hygiene sector reached €45.4 billion in 2025, growing at 4.9% annually, driven by stricter regulation and the increasing integration of environmental criteria in public and private procurement processes.

Eco-friendly products now represent more than 30% of professional purchasing, reinforcing the structural positioning of players in green chemistry.

In this context, Action Pin benefits from a strong competitive advantage: its model is based on a renewable natural resource, while many competitors in conventional chemistry are still undergoing transition.

A change of ownership unlocking entrepreneurial potential

The transaction, led by Benjamin and Felix Frowein alongside Econa and Ouest Croissance, takes the form of a management buy-in.

It illustrates a recurring M&A dynamic: high-performing assets can become constrained when they are no longer central to a group’s strategic priorities.

Under entrepreneurial ownership, key growth levers such as innovation, international expansion, and commercial acceleration can now be fully deployed, where a large corporate structure previously imposed constraints.

A niche M&A segment driven by differentiation

In the specialty chemicals and professional hygiene market, assets with proprietary formulations, strong brands, and sticky customer bases tend to trade at premium valuations.

Far from being a constraint, regulation acts as a structural barrier to entry, reinforcing incumbents and reducing execution risk for acquirers.

For executives and investors, the Action Pin transaction is a textbook case: identifying differentiated assets, understanding their intrinsic value, and structuring a deal that unlocks their full potential.
